Terms of Service

These Terms of Service ("Terms") govern your use of the VaultFolio mobile application and associated services (the "Service") provided by VaultFolio ("we", "us", "our"), an Australian-based entity. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

VaultFolio is a collectibles portfolio platform that provides:

• Portfolio tracking: Organise and manage your collectibles in a digital vault with categories, tags, and collections.
• Market valuation: Estimated market values based on publicly available sales data from sources including the eBay API.
• Grading verification: Certification number lookup against external grading databases (PSA, Beckett, CGC, GIA, PCGS, NGC, SGC).
• Blockchain provenance (Reverse Mint): Optional feature to mint provenance tokens on Polygon, Ethereum, or Base networks, creating an immutable ownership record for your collectibles.
• VF-500 Index: A proprietary market index tracking the collectibles market.
• Vault Score: A proprietary scoring algorithm for portfolio assessment.

2. Account Requirements

To use the Service, you must:

• Be at least 13 years of age. If you are under 18, you must have permission from a parent or legal guardian.
• Create only one account per person.
• Provide accurate and current information during sign-up.
• Keep your account credentials secure. You are responsible for all activity under your account.
• Sign in using a supported authentication provider (Google or Apple).

You must not share, transfer, or sell access to your account.

3. User Content and Data

3.1 Your Ownership

You retain full ownership of all collectibles data, photos, descriptions, and other content you create or upload to the Service ("User Content"). VaultFolio does not claim ownership of your User Content.

3.2 Licence to VaultFolio

By using the Service, you grant VaultFolio a limited, non-exclusive, worldwide, royalty-free licence to use, display, process, and store your User Content solely for the purpose of providing and improving the Service. This licence terminates when you delete your account (subject to the 30-day grace period described in our Privacy Policy).

3.3 Data Export

You may export your User Content at any time in JSON format via the in-app export feature.

4. VaultFolio Intellectual Property

The following are proprietary to VaultFolio and protected by applicable intellectual property laws:

• VF-500 Index: The methodology, calculations, and data aggregation processes underlying the VF-500 collectibles market index.
• Reverse Mint Protocol: The technical architecture and algorithms for blockchain provenance minting of collectible items.
• Vault Score Algorithm: The proprietary scoring system used for portfolio assessment and gamification.
• VaultFolio Branding: The VaultFolio name, logo, and associated trademarks (registered and pending).
• Application Design: The user interface, user experience design, and visual elements of the Service.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on any VaultFolio intellectual property without prior written consent.

5. No Financial Advice

Market valuations displayed in the Service are estimates based on publicly available sales data and proprietary algorithms. They may not reflect actual market value, and they may be inaccurate, incomplete, or delayed. You should not rely solely on VaultFolio valuations when making decisions about buying, selling, insuring, or otherwise transacting in collectibles.

The VF-500 Index is a market indicator, not a recommendation to buy or sell. Past performance does not indicate future results.

6. Grading Verification Disclaimer

The certification verification feature checks certification numbers against external grading databases maintained by third parties (PSA, Beckett, CGC, GIA, and others). VaultFolio:

• Does not guarantee the authenticity, accuracy, or completeness of any grading data returned.
• Is not affiliated with, endorsed by, or a partner of any grading company unless explicitly stated.
• Cannot verify the physical condition of items — only that a certification number exists in an external database.
• Is not responsible for errors, omissions, or discrepancies in third-party grading data.

You should always independently verify the authenticity of collectibles before making purchasing or insurance decisions.

7. Prohibited Use

You must not use the Service to:

• Fraud or misrepresentation: List counterfeit items, falsify grading information, or misrepresent ownership or provenance.
• Counterfeit items: Knowingly create provenance tokens for counterfeit, stolen, or misrepresented collectibles.
• Reverse engineering: Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service, including the VF-500 methodology, Reverse Mint protocol, or Vault Score algorithm.
• Scraping or automated access: Use bots, scrapers, or automated tools to access or extract data from the Service.
• Abuse or harassment: Use the Service to harass, abuse, or harm other users.
• Illegal activity: Use the Service for any purpose that violates applicable laws or regulations.
• Circumvention: Attempt to bypass security measures, authentication controls, or usage limits.

8. Account Suspension and Termination

8.1 Termination by VaultFolio

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe you have violated these Terms, engaged in prohibited use, or if required by law. Where possible, we will provide notice and an opportunity to export your data before termination.

8.2 Termination by You

You may delete your account at any time through the app settings. Upon deletion:

• Your account enters a 30-day grace period during which you may recover it.
• After 30 days, your personal data is permanently deleted from our servers.
• Blockchain data (provenance tokens, transaction hashes) is immutable and cannot be deleted.

8.3 Effect of Termination

Upon termination, your licence to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will continue to apply.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• VaultFolio does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
• VaultFolio is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
• VaultFolio's total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to VaultFolio in the twelve (12) months preceding the claim, or AUD $100, whichever is greater.

10. Dispute Resolution

10.1 Informal Resolution

If you have a dispute with VaultFolio, you agree to first contact us at luke@vaultfolio.ai and attempt to resolve the dispute informally. We will make reasonable efforts to resolve any dispute within 30 days of receiving your notice.

10.2 Mediation

If informal resolution is unsuccessful, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) in accordance with the ADC Mediation Guidelines. The mediation shall take place in Sydney, Australia, unless otherwise agreed.

10.3 Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. If mediation is unsuccessful, the courts of New South Wales, Australia have exclusive jurisdiction over any dispute arising from or related to these Terms or the Service.

11. Changes to These Terms

We may update these Terms from time to time. For material changes, we will:

• Provide at least 30 days' notice via the email address associated with your account.
• Update the "Last updated" date at the top of this page.
• Where practicable, summarise the key changes in the notification.

Your continued use of the Service after the notice period constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and delete your account.

12. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and VaultFolio regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent. VaultFolio may assign its rights and obligations without restriction.
